James had some really rare amp that was stolen. Upon finding this out, he was overcome with emotion and started writing lyrics to the song that would eventually become Fade to Black.

I remember reading that he had to search two full continents to find a replacement for the amp, to give you an idea as to how rare it was.

But, as Gowie put it: Yes, that's exactly what the song is about.

Fade to Black isn't really layered or anything... just a man contemplating, and committing, suicide. It happened around the time one of James favorite amps got stolen, so it could have been related to depression from that. The band was also fascinated with death at the time (pretty much all the songs on Ride the Lightning are death related).
