Batman, given time to study his opponent and prepare for the fight - which will most likely occur on a ground of his choosing.

Were it on a rain-soaked rooftop in NYC or Gotham in a chance meeting and both face off...hard call. I might give Spidey the edge there, as the only thing Bats will can really bring into play is his physical abilities and gadgets on hand - most of which will be nullified by Spider senses.

Batman wins a rematch, though.
